Amazon filing shows its Anthropic stake gaining value ahead of the IPO

Amazon's latest quarterly filing lifted its estimate of what its Anthropic convertible notes are worth, a paper gain that an Anthropic stock market debut could confirm or shrink.

Quick Read

  • Amazon's September-quarter filing raised its estimate of its Anthropic convertible notes to $146.2 billion, from $97.9 billion in June.
  • The values are accounting estimates of what the notes are worth, not cash in hand.
  • An Anthropic stock listing could test Amazon's estimate with a public share price.
  • Amazon's size means its moves reach broad funds that hold the largest U.S. companies by value.

What did Amazon's filing show?

Amazon's September-quarter filing estimated its Anthropic convertible notes were worth $146.2 billion at the end of September. Back in June, the company's own estimate stood at $97.9 billion.

Why it matters: A convertible note is a loan that can later turn into shares. Anthropic's IPO filing, which covers its debut sale of shares to the public, shows the notes Amazon holds could convert into stock when the AI startup lists.

These are fair-value estimates: the company's best guess at what the notes would fetch today. Amazon has not collected that money in cash.

How did Amazon stock trade?

Amazon shares rose 2.1% on Tuesday to close at $250.69. That added $55 billion to the company's market value.

The stock then fell 0.9% in after-hours trading. Even with Tuesday's gain, the shares sit 11.7% below their 52-week high of $284.02.

Why does this reach beyond Amazon owners?

Amazon accounts for 3.0% of the combined value of the 500 largest U.S. companies. Its Tuesday move added $63 to $100,000 spread across them by size.

Anthropic is also an Amazon cloud-computing partner. That makes the startup matter to Amazon as a customer relationship as well as an investment.

What could change the estimate next?

A listing would give Anthropic a public share price that anyone can see. That price could support Amazon's estimate or lead to a revision in its next quarterly filing.

The open question is whether public buyers value Anthropic as highly as Amazon's accounting does. The IPO price, and how the shares trade after it, may answer that.

For readers

What it could mean for you: If you own Amazon shares directly, part of what you hold is now tied to how public investors judge an AI startup. The Anthropic notes are a large paper asset on Amazon's books, and their estimated value could change with each quarterly filing. Anthropic's IPO price may give the market's own verdict on that estimate, which could lift or trim the value Amazon reports for the stake.

Questions and answers

How much is Amazon's Anthropic investment worth?

Amazon's September-quarter filing estimated its Anthropic convertible notes were worth much more at the end of September than in June. The figure is an accounting estimate, not cash Amazon has received.

What is a convertible note?

It is a loan that can turn into shares of the borrower later. Amazon's notes could convert into Anthropic stock when Anthropic goes public.

How could Anthropic's IPO affect Amazon?

A listing would set a public price for Anthropic shares. That price could support or change the value Amazon reports for its notes in later filings.
